Legal form and registration
JANELAMBICIOSA, UNIPESSOAL LDA is a single-member private limited company under Portuguese law, incorporated on 19 July 2026 and registered at the Vila Nova de Gaia Commercial Registry Office under single registration and tax number 519545737.
The permanent registry certificate is available on request, in the form of an access code. The code gives access to the authenticated, current version of the register and replaces a paper certificate, under Article 75(5) of the Portuguese Commercial Registry Code.
Corporate structure and beneficial ownership
Share capital is EUR 1,000.00, fully paid up, represented by a single quota. The ownership chain has one level: there are no intermediate companies, holding vehicles or cross-holdings.
The beneficial ownership declaration is filed with the Portuguese Central Register of Beneficial Owners and is provided in any onboarding process, together with a one-page structure diagram.
Governing bodies and signing rules
The company is managed by one director appointed on incorporation. The registered signing rule is the intervention of one director, which means the director’s signature binds the company without any further resolution.
This information is on the register and independently verifiable. In institutional contracting, it is what avoids the most common question of all: who inside this company has the authority to sign this?
Corporate purpose
The registered corporate purpose covers consultancy in management, marketing, communication, business strategy and digital transformation; the provision of digital services, including the development, implementation, management and commercialisation of technology solutions; consultancy in digital assets and emerging technologies; and ancillary activities.
The company does not carry out, and does not propose to carry out, any activity requiring prudential authorisation. The framing is set out in the regulatory status notice.
Financial year and accounts
The financial year ends on 31 December. Accounts are prepared under the Portuguese accounting standards system and filed within statutory deadlines. Approved accounts are provided to counterparties that request them as part of a due diligence process, subject to a confidentiality agreement.
